These Terms of Service ("Terms") govern your access to and use of the Auteryn AI agent platform and related services (collectively, "Auteryn") provided by Auteryn Inc., a Delaware C Corporation ("Company," "we," "us," or "our"). By accessing or using Auteryn, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Description of Service

Auteryn provides a platform for building, managing, and deploying autonomous AI agents. Our services include:

Agent creation and configuration
Skills and flow automation
Knowledge base management and RAG capabilities
Third-party integrations via connectors
Computer Use (desktop automation) capabilities
Multi-agent orchestration
Human-in-the-loop approval workflows

2. User Accounts

To use Auteryn, you must create an account. You agree to:

Provide accurate and complete registration information
Maintain the security and confidentiality of your credentials
Promptly notify us of any unauthorized access or security breach
Accept responsibility for all activities under your account
Not share your account with others or allow unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription & Billing

Plans & Pricing

Auteryn offers Free, Pro, Business, and Enterprise plans. Plan details and pricing are available on our pricing page and may be updated from time to time.

Billing Cycle

Paid subscriptions are billed monthly or annually in advance. Compute hours and AI credits are metered and billed based on actual usage.

Top-ups

When your included credits run out, runs pause until the next cycle or a top-up. You may purchase top-up credit packs at any time (they never expire), or enable auto top-up with a monthly spending cap you control. There are no surprise overage charges.

Refunds

While Auteryn is in beta, refund requests are reviewed case by case — if the product is not working out in your first weeks, contact us and we will work it out with you. Otherwise, subscription fees already paid and consumed compute or credits are non-refundable, except where required by applicable law.

4. Beta & Preview Services

Some features may be labeled as "Beta," "Preview," or "Early Access." These features:

Are provided "as is" without warranty
May contain bugs, errors, or incomplete functionality
May be modified or discontinued without notice
Should not be relied upon for production-critical workflows
May have different SLA commitments than generally available features

5. Your Data & Content

Ownership

You retain full ownership of all data, content, and materials you upload to Auteryn, including knowledge base documents, agent configurations, and workflow definitions.

License to Us

By using our services, you grant Auteryn a limited license to access, process, and store your content solely for the purpose of providing and improving our services. We do not use your data to train AI models.

Your Responsibilities

You are responsible for ensuring you have the right to upload and use all content, and that your content does not violate any third-party rights or applicable laws.

6. AI Agent Terms

Agent Actions

AI agents may perform actions on your behalf, including interacting with third-party services, sending messages, and executing automated tasks. You are responsible for:

Configuring agents appropriately for your use case
Reviewing and approving sensitive operations when Human-in-the-Loop is enabled
Monitoring agent activity and outputs
The consequences of actions taken by your agents

AI Outputs

AI-generated content may contain errors, inaccuracies, or inappropriate material. You should review AI outputs before relying on them for important decisions.

Human-in-the-Loop

We strongly recommend enabling Human-in-the-Loop approval for sensitive operations. When enabled, agents will pause and request your approval before executing certain actions.

7. Third-Party Integrations

Auteryn integrates with third-party services ("Connectors") such as GitHub, Slack, Google Workspace, and others. When using connectors:

You authorize Auteryn to access these services on your behalf
You are responsible for complying with each third-party's terms of service
Connector credentials are stored encrypted and access is scoped and temporary
We are not responsible for third-party service availability or changes
You may revoke connector access at any time from your account settings

Third-party services are governed by their own terms and privacy policies.

8. Acceptable Use

You agree not to use Auteryn for any unlawful or prohibited purpose. Prohibited uses include:

Violating any applicable laws, regulations, or third-party rights
Generating or distributing harmful, abusive, or illegal content
Sending spam, phishing, or unsolicited communications
Attempting to bypass security measures or access unauthorized systems
Reverse engineering, decompiling, or extracting our source code
Using the service to build a competing product
Overloading or interfering with our infrastructure
Impersonating others or misrepresenting your affiliation

9. Intellectual Property

Auteryn and its original content, features, functionality, branding, and technology are owned by Auteryn Inc. and protected by international copyright, trademark, patent, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our service without explicit written permission.

10. Service Availability

We strive to provide reliable service with high availability. However:

We do not guarantee 100% uptime
Scheduled maintenance may temporarily affect availability
Unplanned outages may occur due to factors beyond our control
Enterprise plans may include specific SLA commitments

11. Termination

By You

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.

By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason with reasonable notice. We may terminate immediately for serious violations.

Effect of Termination

Upon termination, your access to Auteryn will end. You may export your data before termination. We will delete your data after account closure, except as required by law.

12. Warranty Disclaimer

AUTERYN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, secure, or that defects will be corrected. AI outputs may contain errors and should be reviewed before use.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTERYN INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, or business opportunities
Loss of data or data breaches caused by third parties
Damages arising from agent actions or AI outputs
Costs of procurement of substitute services
Any matter beyond our reasonable control

Our total liability shall not exceed the amount you paid to Auteryn Inc. in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Auteryn Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) content you upload; or (e) actions taken by your AI agents.

15. Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware and the federal laws of the United States, without regard to conflict of law principles.

Local Mandatory Rights

Nothing in these Terms limits any non-waivable rights you have under the mandatory consumer-protection or data-protection laws of your place of residence, including in Canada, India, Singapore, the United Kingdom, and the European Union. Where local law does not permit a provision of these Terms (including arbitration or class-action waiver provisions), that provision applies only to the maximum extent permitted.

Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@auteryn.aito attempt informal resolution. We will have 30 days to respond and attempt to resolve the dispute before formal proceedings may be initiated.

Arbitration

Any disputes not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or alternatively JAMS under its Streamlined Arbitration Rules, conducted in the State of Delaware, United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND AUTERYN INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Auteryn Inc. agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.

Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AUTERYN INC. EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OUR SERVICES.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Auteryn Inc.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the service. Continued use after changes constitutes acceptance.
